1. Acceptance of Terms
By accessing and using Uplinks services ("we", "our services"), you agree to be bound by these terms and conditions. If you do not agree with these terms, please do not use our services.
2. Services Provided
Uplinks provides digital agency services including:
- Website design and development
- Branding and visual identity
- Web and mobile application development
- Digital strategy consulting
- Website maintenance and support
- SEO and performance optimization
3. Work Process and Timeline
3.1 Initial Consultation: Every project begins with consultation to understand client needs and objectives.
3.2 Proposal and Contract: We will provide a detailed proposal with clear scope, timeline, and costs.
3.3 Payment: Payment is made in stages according to agreed milestones.
3.4 Revisions: Each project stage includes revision rounds as specified in the contract.
3.5 Delivery: Projects are delivered according to agreed timeline with complete documentation.
4. Client Obligations
As a client, you agree to:
- Provide necessary information and materials in a timely manner
- Give feedback and approval according to agreed timeline
- Make payments according to the predetermined schedule
- Ensure all provided content does not violate third-party copyrights
- Communicate professionally and constructively
5. Intellectual Property Rights
5.1 Delivered Work: After full payment, the client owns the rights to the final design and code developed specifically for their project.
5.2 General Components: Frameworks, libraries, and general components used remain the property of their original developers or open source.
5.3 Portfolio: We reserve the right to use the work as part of our portfolio and marketing materials.
5.4 Methodology: Work processes, methodologies, and internal templates remain the property of Uplinks.
6. Payment and Refunds
6.1 Payment Structure: Payment is made in stages: 50% at start, 30% midway, and 20% upon completion.
6.2 Late Payment: Late payment may result in project delays or temporary suspension.
6.3 Refund Policy: Refunds may be given for work not yet started. Work already in progress cannot be refunded.
6.4 Additional Costs: Scope changes or additional requests outside the contract will incur separate charges.
7. Warranty and Support
7.1 Technical Warranty: We provide a 30-day warranty for bugs and technical errors after launch.
7.2 Maintenance Support: Long-term support is available with a separate maintenance contract.
7.3 Hosting and Domain: Clients are responsible for hosting and domain, or may use services we recommend.
7.4 Content Updates: CMS usage training is provided, content updates become the client's responsibility.
8. Limitation of Liability
Uplinks is not responsible for:
- Business losses or profit loss due to website downtime
- Issues arising from third-party hosting or servers
- Copyright violations from client-provided content
- Changes in search engine algorithms or social media platforms
- Force majeure or circumstances beyond our control
9. Cancellation and Termination
9.1 Client Cancellation: Clients may cancel projects with written notice. Payment for completed work cannot be refunded.
9.2 Uplinks Termination: We reserve the right to terminate projects if clients violate contract terms or fail to make payments.
9.3 Handover: In case of cancellation, all files and paid work will be handed over to the client.
10. Confidentiality
We are committed to maintaining the confidentiality of all business information and client data. This information will not be shared with third parties without written consent, except as required by law.
11. Governing Law
These terms and conditions are governed by the laws of the Republic of Indonesia. Any disputes will be resolved through mediation first, and if unsuccessful, through competent courts in Jakarta.
